Close of Sale: The sale is closed upon the execution closing documents, including the final Purchase and Sale Agreement and Security Agreements, and, as may be required, Lease Agreements, Employment Agreements, Non-Disclosure and Non-Compete Agreements, Corporate Minutes and Resolutions, and all other closing documents to be prepared and drawn by a Closing Lawyer, and with the exchange of consideration.
