HERE’s HOW IT WORKS, step by step …
Let’s supposed I posted a business-for-sale listing; No.S00227, and you are looking for such a business
- First, I have posted my listing; No.S00227, without name or address or other information that could identify me or the business.
- You find listing No.S00227 to be of interest and request more information by clicking the request more information button at the end (bottom) of the listing.
- That request will be received by 3rdPartyOnLine, who will then … a) forward a Non-Disclosure Agreement (NDA) to you for your agreement and submission, and … b) 3rdPartyOnLine will notify me that there is an interest party and, on the assumption that should there be interest on both sides, there will need be “an exchange” of information, and will thus request an NDA from me (the selling party) as well. The NDA received by each will be identical to that received by the other except yours will contain your contact information only, and mine will contain my contact information only. The Parties and the Business will be identified only by Business-Trader provided code numbers.
- Then, if and when we have both agreed to a Mutual NDA and have each submitted such agreement to 3rdPartyOnLine, we will each be notify of such mutual agreement. Still, both Parties and the Business shall remain ANONYMOUS.
- When I receive such confirmation from 3rdPartyOnLIne, I will be ready and waiting with a prepared package of material business information that will expand on the information already provide in the online listing No.S00227. The information will again contain no identifying information, and I will be in control over whatever information is selected and sent to you via 3rdPartyOnLine.
- I may at the same time request information from you that would represent your experience and abilities to purchase and operate the business I am offering for sale, and;
- the give and take of materials and discussion between us as buyer and seller might continue in anonymity indefinitely, until, if ever, both parties are satisfied in a decision to move forward, or until either party shall decide to move on.
ALL such communication will be conducted via 3rdPartyOnLine in anonymity.
- 3rdPartyOnLine will notify you of every communication posted to your dashboard, by notice sent to you at the email address you provided in your registration profile. Such will be between 3rdPartyOnLine and you only. As seller, I would not see your address.
- Every communication received will be post to the “Message Centre” on your dashboard at business-trader.com. Just pull up www.business-trader.com and Login.
- All replies and responses must be issued through your message centre, in the manner provided therein, in order to maintain anonymity.
- When responding to the NDA request, there will be a “click here” link within the message (toward the bottom), to open the NDA for your review and if in agreement, to acknowledge and submit such agreement.
- 3rdPartyOnLine requests a Mutual NDA because we assume as interest continues between the parties, sooner or later there will be a “give and take” of confidential information between the parties that will require an NDA from both parties.
- To comment either in reply or to initiate a contact, you will see an envelope ICON in the upper right corner of every message. Click the envelope to open a comment form, enter the comment, question, answer, or whatever you have, and Send it. That comment will be relayed through 3rdPartyOnLIne.
- To forward prepared information to the other party, again click the envelope ICON located in the upper right corner of a the last message from this party, where you will find a place to either attach a PDF file, or to select a previously prepared PDF that you had previously uploaded in the 3rdPartyOnLine intermediation “Yes – No” section of the listing entry form.
- The interested party may have additional questions to ask after reviewing your information, or may request still more information.
- Or, you may wish to ask questions of the other party, and/or maybe ask for information from the other party.
- So long as communication shall continue to be relayed between the parties, it will do so in keeping with your anonymity.
DEMONSTRATING 3rdPartyOnLine, step by step
3rdPartyOnLine is an interactive process typically conducted between a Buyer and a Seller. In the case, let’s presume the Buyer is the initiating party requesting information from a Seller. It should be understood that the Seller’s response will not necessarily come within a few minutes. It may not come for an hour or two, or maybe not until tomorrow. The Seller is probably a busy person and often not in position to respond immediately.
The same is true in an interactive demonstration. In the case of a demo, the respondent is “us” and we will respond as quickly as possible; it may not be immediate but it will come and you’ll be alerted. By that time, you may not be standing by either, so won’t see the alert till later as well. So, unless we happen to catch each other on the spot, just like in a live exchange, a full demonstration could take a while.
NOTE: Interactivity via 3rdPartyOnLine requires both parties be registered members. A private dashboard assigned upon registration is require to receive and retain communication. An email address within the registration profile is require to alert a member of “new mail on the dashboard” and a unique number assigned to each member upon registration is required for identification. BizBrokerOnCall
BizBrokerOnCall means a business broker available, on call, and most commonly, to provide assistance to a business owner who is self-representing in a business-for-sale-by-owner offering, in areas such as …
- business valuation,
- creation of the ad presentation,
- preparation of business materials ready for release,
- offer to purchase,
- matters of due diligence,
- and, as otherwise may be requested,
Such help will generally be conducted offline, outside of the website, and our objective is to provide information, know how and assistance rather than the representation of a broker to one party or the other. Such help however, is most commonly requested by a business owner rather than by a buyer firstly, because the preponderance of information requested by either party will be information pertaining to the business and requested by the buyer, and secondly, more typically it is the business owner who has never done this before, who will be least experienced and be less certain about the processes of selling the business.
An independent third party, such as a business broker or other mediation agent, can bring exceptional value to the sale of a business, affording ANONYMITY to the parties in the manner previously discussed, beginning from the moment a buyer finds a business of interest, until the parties find sufficient mutual interest in what each has to offer the other, and find a mutual, serious and legitimate buy/sell intent and until both parties agree to break with anonymity and to pursue that serious and legitimate intent together.
ANONYMITY on a business buy/sell website, such as Business-Trader.com, provides the business owner a private and confidential and safe place in which to present the most confidential financial information of the business, right from the outset of the initial presentation of such information, which happens also to be the most probable and urgent information being sought by good buyers, right from the outset.
The information a good buyer is looking for from a good and profitable business-for-sale, is NOT a photograph, NOT the name of the business, NOT the name of the owner, NOT the street address, NOT necessarily even the city or town, NOT a claim of unlimited potential NOR the urgent “don’t let this one get away” comment as are so often presented on business buy/sell websites. And should that same anonymity continue throughout the while buyer and seller would engage in the exchange of information on which to evaluate respective opportunities, would not that same FULL CONFIDENTIALITY continue also?
In a nutshell, the retention of such anonymity is a function of Business-Trader’s 3rdPartyOnLine, and here’s how it works.
Business-for-Sale-by-Owner
An obstacle before a business owner self-representing in the sale of the business is, that while it may not be impossible for a business owner/seller to deal successfully in direct contact with the buyer, it will probably be quite difficult for the self-representing seller to do so and also maintain anonymity for long, while at the same time answering questions and providing the real material information buyers will be asking for, beginning with a potential buyer’s first contact.
When a business broker is the contact point between buyer and seller, it provides a buffer of confidentiality and anonymity that does not existed for a self representing owner where buyer and seller will come quickly into direct contact. To remove this obstacle, 3rdPartyOnLine, a 3rd party business broker-like buffer providing anonymity and confidentiality to the business and owner/seller has been designed into the 2017 version of Business-Trader.com.
- First, the contact information you will have provided in the creation of your ad will be replaced by Business-Trader’s 3rdPartyOnLine contact information.
- 3rdPartyOnLine will notify your contact email address of any and all buyer inquiries into your business-for-sale ad, and/or will notify the buyer of any inquiry you might make into that buyer’s business-wanted ad, if any.
- At the same time, 3rdPartyOnLine will present our Standard Confidentiality Agreement to the inquiring party and ask for their “electronic agreement,” identifying your business as a party only by its Business-Trader ID number, and upon receipt of such agreement will notify you of such. Nothing will be relayed to the inquiring party without first receiving such Confidentiality Agreement.
- Any and all subsequent communication between buyer and seller will be relayed through 3rdPartyOnLine (You’ll want to ensure your message, materials, information do not break anonymity).
- No such relays between buyer and seller shall contain your contact information, unless it is provided within the content of the comments, materials and/or information you might provide. (So again, you’ll want to ensure your message, materials, information do not give up your anonymity).
- 3rdPOL shall continue mediate unless and until both parties shall agree that sufficient opportunity is now seen by both parties to warrant the lifting of anonymity and until both parties agree to be introduced to the other.
- Thereafter, the first step in such introduction will be the execution by both parties, of a notarized copy of the same Standard Confidentiality Agreement as had previously been electronically agreed.
- At such point, buyer and seller will be introduced and free to deal one-on-one, directly.
However, both before and after 3rdPartyOnLine mediation activity with respect to this particular “buyer/seller/business combination” would be terminated, there may be options available that would continue such mediation.

Business-Wanted-by-Buyer
If you are the business buyer who is publicly unknown who has published an ad in search of a business to buy, and will presumably want to keep any confidential information presented in your ad confidential, we suggest to you that an independent third party can add real value to your efforts, if only to provide ANONYMITY while buyer and seller find their respective levels of interest in what each has to offer the other.
When a business seller finds a BizWanted ad presentation and sees something of interest, or when a buyer finds a business-for-sale ad and sees something of interest, and when either makes contact with the other to ask for more information, a third party who is prepared to respond is in a far better position than will be either of the parties to release such information ANONYMOUSLY and, thereafter, in a more advantageous position again to continue to provide anonymity and confidentiality during the while the parties shall investigate and evaluate the opportunity each may afford the other, or until the parties become comfortable with each other to the extent that they think it advantageous deal directly with each other, and agree to be introduced to the other and thus break with anonymity and maybe terminate our Third Party Mediation.

If not, may we I suggest that you obtain a private and exclusive email address and cell phone and in order to maintain your ANONYMITY and CONFIDENTIALITY as long a possible, dedicate them to the process of buying a business only until the job is done.
For a business owner self representing in the sale of the business, it can be difficult for the seller to provide the real material information buyers are looking for and at the same time remain anonymous for any prolonged period after the buyers first request for more information, and it becomes difficult to keep confidential information confidential. It may not be quite so difficult for a Buyer, in part because the amount of information to be requested from a buyer will be so much less than that requested from a seller.
